AGREEMENT TO OUR LEGAL TERMS
These Terms of Service (“Legal Termsâ€) are a legally binding agreement between you (“youâ€) and Theory Media Management FZCO, trading as Source Capital (“Companyâ€, “weâ€, “usâ€, or “ourâ€), covering your access to and use of our websites, portals, communities, events, content, and related products and services that reference or link to these Legal Terms (collectively, the “Servicesâ€).

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Legal Terms. If you do not agree, do not use the Services. We may update these Legal Terms from time to time. We will update the “Last updated†date above; your continued use constitutes acceptance of the revised terms.
Age: The Services are intended for users aged 18+ only.

1) OUR SERVICES
We provide advisory and related services in investment/fundraising, investor relations and hospitality events, private networking, education/community memberships, digital content, and software/automations supporting those offerings.
The Services are not intended for use in jurisdictions where such use would violate local law or subject us to registration. If you access the Services from outside the UAE, you do so on your own initiative and remain responsible for local compliance.
Regulatory scope. We are not a licensed financial institution or broker-dealer, and we do not execute securities transactions or provide regulated investment advice unless explicitly stated and duly licensed in the relevant jurisdiction. Nothing in the Services constitutes an offer to sell or a solicitation to buy any security.
The Services are not tailored for industry-specific compliance regimes (e.g., HIPAA, FISMA, GLBA). Do not use the Services if your data processing requires those standards.
2) INTELLECTUAL PROPERTY RIGHTS
Our IP. We (or our licensors) own all rights in the Services, including text, designs, course materials, frameworks, scorecards, templates, software, data, video, audio, photographs, graphics, trademarks/service marks, and logos (collectively, “Content†and “Marksâ€). Content and Marks are protected by international IP laws. The Services and Content are provided “as is†for your personal or internal business use only.
Your licence. Subject to these Legal Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access the Services and to download/print portions of Content to which you have lawful access for your personal or internal business use. Any other use (copying, redistribution, sublicensing, public display, resale, training of AI models, etc.) requires our prior written consent.
We reserve all rights not expressly granted. Any breach of this Section is a material breach and will result in immediate termination of your rights to use the Services.
Your submissions & contributions. If you send us feedback, ideas, or suggestions (“Submissionsâ€), you assign to us all IP rights in those Submissions and agree we may use them without restriction or compensation. “Contributions†you post or upload to interactive areas may be visible to others; see Sections 9–10.
3) USER REPRESENTATIONS
By using the Services, you represent and warrant that: (1) you have legal capacity and agree to comply with these Legal Terms; (2) you are not a minor in your jurisdiction; (3) you will not access the Services via automated or non-human means (bots, scripts, scrapers) except as expressly permitted; (4) you will not use the Services for unlawful purposes; and (5) your use complies with applicable laws.
We may suspend or terminate access if any information you provide is inaccurate, incomplete, or misleading.
4) PRODUCTS & PROGRAMMES
We may offer advisory packages, retainers/success-fee engagements, event tickets/hospitality, memberships and courses, templates/tools, software features, and other digital or physical deliverables (collectively, “Productsâ€). Availability and descriptions may change at any time.
5) PURCHASES AND PAYMENT
We accept card payments and other methods as made available at checkout (e.g., Visa, Mastercard, AmEx, Discover, PayPal, Stripe, local gateways). All prices are shown exclusive of applicable taxes unless stated otherwise; VAT or sales taxes will be added where required. Currency is as displayed at checkout (typically USD or AED).
You agree to provide current, complete, and accurate billing information and authorise us (and our processors) to charge your payment method for due amounts, including renewals (see Subscriptions), fees, and applicable taxes. We may correct pricing errors even after payment is requested or received.
We may refuse or limit orders (e.g., per account/household/payment method/address) and may decline orders that we believe are for resale or redistribution.
6) SUBSCRIPTIONS
Billing & renewal. Subscriptions (e.g., communities, tools, content) auto-renew unless cancelled. You authorise recurring charges to your chosen payment method until cancellation.
Trials. Where offered, a trial converts to a paid plan at the end of the trial unless you cancel beforehand.
Cancellation. You may cancel at any time via your account or by contacting us; cancellation takes effect at the end of the current paid term. We may update subscription fees and will notify you in accordance with applicable law.
7) REFUND POLICY
Unless expressly stated for a specific Product (e.g., a documented satisfaction guarantee), all sales are final and non-refundable, including digital downloads, memberships, events/hospitality, and advisory retainers. Where consumer laws mandate refunds, we will comply.
8) PROHIBITED ACTIVITIES
You agree not to:
- Extract, scrape, mine, or systematically retrieve data or Content to create databases or directories without our written consent.
- Circumvent, disable, or interfere with security features or access controls.
- Misuse support channels or submit false abuse reports.
- Upload malware, spam, or content that is unlawful, defamatory, obscene, hateful, harassing, or otherwise objectionable.
- Reverse engineer, decompile, or disassemble any part of the Services except as permitted by law.
- Create accounts by automated means or under false identity.
- Use the Services to compete with us or for any revenue-generating endeavour not expressly permitted.
- Sell or transfer your profile without our consent.
9) USER-GENERATED CONTRIBUTIONS
Interactive features may allow you to post text, images, audio/video, comments, reviews, and other materials (“Contributionsâ€). Contributions may be visible to other users and third parties and are treated as non-confidential. You are responsible for your Contributions and for obtaining necessary permissions/releases. Your Contributions must not infringe third-party rights or violate law or these Legal Terms.
10) CONTRIBUTION LICENCE
By posting Contributions, you grant us an unrestricted, worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free licence to use, copy, reproduce, adapt, publish, translate, distribute, perform, display, re-title, create derivative works from, and otherwise exploit the Contributions (including your name, image, and voice) in any media now known or later developed. You waive moral rights in the Contributions to the extent permitted by law. You retain ownership of your underlying IP.
We may edit, re-categorise, pre-screen, or remove Contributions at our discretion and have no obligation to monitor them.
11) THIRD-PARTY WEBSITES & CONTENT
The Services may link to third-party websites, software, tools, or content. We do not control and are not responsible for third-party materials or practices. Your dealings with third parties are solely between you and the relevant provider.
12) SERVICES MANAGEMENT
We may (but are not obliged to) monitor the Services for compliance; take legal action for violations; restrict or disable access to any Contributions; remove files or content that burden our systems; and otherwise manage the Services to protect our rights and ensure proper functioning.
13) PRIVACY POLICY
Your use of the Services is subject to our Privacy Policy, which is incorporated by reference. By using the Services, you consent to our data practices as described there. Note that hosting locations and data transfers may include the United Arab Emirates, the European Economic Area, the United Kingdom, and/or the United States, subject to applicable transfer mechanisms.
14) TERM AND TERMINATION
These Legal Terms remain in effect while you use the Services. We may suspend or terminate access (including blocking IPs) at any time, with or without notice, for any reason (e.g., legal breach, misuse). If we terminate or suspend your account, you must not create a new account without our written consent. We may pursue all available legal remedies.
15) MODIFICATIONS AND INTERRUPTIONS
We may modify or discontinue all or part of the Services at any time without notice. We do not guarantee uninterrupted availability and are not liable for downtime, delays, errors, or required maintenance.
16) GOVERNING LAW
These Legal Terms and your use of the Services are governed by the laws of the United Arab Emirates. Where permissible, the parties agree that exclusive jurisdiction shall lie with the Courts of Dubai, UAE (or, if expressly agreed in writing, the DIFC Courts). Conflict-of-laws principles do not apply.
If you require a different governing law/venue for a particular engagement (e.g., a US client agreement), we can reflect that in the specific contract with that client.
17) DISPUTE RESOLUTION
Good-faith negotiation. The parties shall first attempt to resolve any dispute informally through good-faith negotiations.
Arbitration. If unresolved within 30 days, disputes shall be finally settled by binding arbitration under the DIFC-LCIA Arbitration Rules (or another recognised arbitral body as mutually agreed) seated in Dubai, with proceedings in English. Each party bears its own costs; the tribunal may award fees/costs per the rules. Judgment on the award may be entered in any court of competent jurisdiction.
Exceptions. Either party may seek injunctive or equitable relief for IP rights or confidentiality breaches in any competent court.
Class actions. Arbitration shall be on an individual basis; class or representative proceedings are not permitted.
18) CORRECTIONS
The Services may contain typographical errors or inaccuracies. We may correct or update information at any time without prior notice.
19) DISCLAIMER
The Services are provided “AS IS†and “AS AVAILABLE.†To the fullest extent permitted by law, we disclaim all warranties—express, implied, or statutory—including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted, secure, or error-free operation, or the accuracy or completeness of any Content.
No financial advice. Materials are for information/education only and do not constitute financial, legal, tax, or investment advice. You are solely responsible for your decisions and should seek independent professional advice.
20) LIMITATIONS OF LIABILITY
To the maximum extent permitted by law, we and our directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages (including loss of profits, revenue, data, goodwill, or business interruption) arising from or related to the Services, even if advised of the possibility.
Our total aggregate liability arising out of or relating to the Services shall not exceed the amount you paid to us in the six (6) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations; those limitations apply to the extent permitted.
21) INDEMNIFICATION
You agree to defend, indemnify, and hold us harmless (and our affiliates, officers, agents, partners, and employees) from and against claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from: (1) your Contributions; (2) your use of the Services; (3) your breach of these Legal Terms; (4) your violation of third-party rights; or (5) any harmful act toward another user connected to the Services. We may assume exclusive defence and control; you will cooperate at your expense.
22) USER DATA
We maintain data reasonably necessary to operate the Services and perform regular backups, but you are responsible for all data you transmit or that relates to your activities. We are not liable for any loss or corruption of such data.
23) ELECTRONIC COMMUNICATIONS, TRANSACTIONS & SIGNATURES
When you visit the Services, email us, or complete online forms, you engage in electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement for written communications. You agree to the use of electronic signatures and records.
24) SMS/TEXT MESSAGING
Programme description. By opting into any Source Capital text messaging programme, you consent to receive SMS messages to your mobile number (e.g., appointment reminders, event notices, community updates, marketing).
Opt-out. Reply STOP to any message to unsubscribe. You may receive a confirmation SMS.
Rates. Message and data rates may apply per your carrier/plan.
Support. Email [insert support email] or call [insert phone].
25) LOCAL CONSUMER RIGHTS
Nothing in these Legal Terms seeks to exclude or limit any non-waivable consumer rights under applicable UAE law (or other mandatory local law where applicable).
26) MISCELLANEOUS
These Legal Terms, together with any policies or specific agreements posted on or referenced by the Services, constitute the entire agreement between you and us regarding the Services. Our failure to enforce any provision is not a waiver. We may assign our rights/obligations without restriction. If any provision is held invalid or unenforceable, the remainder shall continue in full force. No partnership, joint venture, employment, or agency relationship is created by your use of the Services. These Legal Terms shall not be construed against the drafter.
